User Terms & Conditions

Last updated: September 2026

A. Introduction

The Birdwire mobile application and platform are owned and operated by Birdwire ApS, CVR-no. 42650765, Ravnsborggade 7A, 2200 København N, Denmark (“BIRDWIRE”, “we”, “us”, or “our”).

BIRDWIRE’s mission is to transform how people interact with their cities by layering digital discovery over real-world locations. We allow end-users (“You”, “Customer”, or “User”) to explore cities using avatars, discover social/cultural events (“Events”), access merchant promotions (“Offers”), and participate in group buying offers (“Group Buys”).

These Terms and Conditions (“User Terms”) apply to your access to and use of the Birdwire app, website, and related services (collectively, the “Platform”). By creating an account or using the Platform, you agree to be bound by these User Terms.

B. The Birdwire Platform Features

  1. Promotions and Social Discovery. Retailers and businesses (“Merchants”) may share promotional content and offers on the Platform. Users may view, save, like, and share these promotions, and redeem them according to the specific rules posted by the Merchant.
  2. Events. Users and Merchants can create, share, and manage event listings. BIRDWIRE provides the platform for discovery and ticket links but is not the event organizer unless explicitly stated.
  3. Group Buying Feature. BIRDWIRE enables Users to participate in collective purchasing deals (“Group Buys”) for products or services offered by third-party Merchants.
    • Collective Thresholds: Certain Group Buys require a minimum number of participating Users (“Group Target”) within a specified timeframe to become active.
    • Payment Pre-Authorization: When you join a Group Buy, your payment method may be pre-authorized or charged immediately upon reaching the Group Target.
    • Deal Expiration & Discretionary Activation: If a Group Buy fails to reach its Group Target before the expiration time, the deal will automatically cancel, and any pre-authorized funds will be released or refunded in full, unless the Merchant elects, in its sole discretion, to activate the deal regardless of the deficit. If the Merchant exercises this right, participating Users will be charged, and the contract of sale will be processed as standard.

C. General Conditions & Eligibility

  • Age Requirement: You must be at least 15 years old to register and use the Platform.
  • Account Security: You are responsible for keeping your credentials confidential and for all activities under your account.
  • Accuracy of Information: You agree to provide true, accurate, and current information during registration.
  • Prohibited Conduct: You must not use automated systems (bots, scrapers), transmit viruses, harass other users, post unlawful/infringing content, or use the Platform for illegal acts.

D. Transactions, Payment, and Merchant Responsibility

  1. BIRDWIRE is a Platform Provider. BIRDWIRE operates as a technology marketplace connecting Users with independent Merchants. BIRDWIRE is not the seller, provider, or manufacturer of any goods, tickets, or services offered by Merchants via Group Buys or Promotions.
  2. Contract of Sale. When you purchase a Group Buy item or deal, the legal sales contract is formed directly between You and the Merchant. BIRDWIRE is not a party to this contract.
  3. Refunds and Returns.
    • Pre-Target Cancellation: If a Group Buy does not trigger, BIRDWIRE will ensure your payment is released/refunded.
    • Post-Fulfillment Claims: Requests for refunds, returns, defective items, late delivery, or unfulfilled offers must be directed to the responsible Merchant. BIRDWIRE is under no obligation to issue refunds for Merchant default or product dissatisfaction, subject to statutory Danish consumer protection laws.
    • Post-Threshold Transaction Finality: Once a Group Buy reaches its Group Target and successfully closes, your payment is immediately transferred to the independent Merchant to fund fulfillment. Because BIRDWIRE does not hold or retain these funds following a successful campaign, BIRDWIRE cannot issue refunds, process cancellations, or mediate disputes after the threshold is met. All claims regarding refunds, defective items, or non-delivery must be settled directly with the Merchant in accordance with Danish law.

E. Intellectual Property & User Content

  • Platform Ownership: All BIRDWIRE branding, software, designs, and proprietary systems remain the sole property of Birdwire ApS.
  • User Content License: You retain ownership of content/photos you post, but grant BIRDWIRE a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content on the Platform.

F. Limitation of Liability & Disclaimer of Warranties

  • “As-Is” Service: The Platform is provided on an “as is” and “as available” basis without warranties of any kind.
  • Merchant Content & Goods: BIRDWIRE does not endorse, guarantee, or inspect the quality, safety, legality, or delivery of goods or services provided by Merchants.
  • Liability Cap: To the maximum extent permitted by Danish law, BIRDWIRE Parties shall not be liable for indirect, incidental, or consequential damages. In no event shall BIRDWIRE’s total aggregate liability exceed €100 or the total value of your affected order (whichever is lower).

G. Governing Law & Jurisdiction

These User Terms are governed by and construed in accordance with the laws of Denmark. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Denmark.
